BYLAWS OF LOVELAND 9-12 PROJECT
(approved January 12, 2010)

Article I.  Name and Purpose

Section 1.  Name – The name of this organization is the Loveland 9-12 Project (L912P).

Section 2.  Purpose – The purpose of L912P is to defend the Constitution of the United States of America and to restore our Republic to its founding principles.

A.    L912P is a non-partisan organization.

B.    L912P seeks to educate its members and the community regarding the founding documents of our country and current legislative issues.

C.    L912P seeks to provide opportunities for its members and the community to express their support or grievances to their elected representatives.

D.    L912P seeks to inform its members and the community about candidates for elected office through a vetting process and candidate forums.

Article II.  Membership

Section 1.  Membership shall be granted to any person who wishes to be a member, provides contact information, and adheres to the Code of Conduct.

Section 2.  The 9 principles and 12 Values.

A.    Principles

  1. America is good.
  2. I believe in God and He is the center of my life.
  3. I must always try to be a more honest person than I was yesterday.
  4. The family is sacred. My spouse and I are the ultimate authority, not the government.
  5. If you break the law you pay the penalty. Justice is blind and no one is above it.
  6. I have a right to life, liberty, and pursuit of happiness, but there is no guarantee of equal results.
  7. I work hard for what I have and I will share it with who I want to. Government cannot force me to be charitable.
  8. It is not un-American for me to disagree with authority or to share my personal opinion.
  9. The Government works for me. I do not answer to them, they answer to me.

B.    Values

  1. Honesty, Reverence, Hope Thrift, Humility, Charity, Sincerity, Moderation, Hard Work, Courage, Personal Responsibility, Friendship.

Section 3.  A member may be suspended or expelled for conduct deemed detrimental to the objectives and interests of the L912P, or in violation of the Code of Conduct. The member will be given notice by the board of the proceedings and an opportunity to be heard in his or her defense; however the Board of the L912P will have final say in the matter by a majority vote.

Section 4.  A Quorum of members is formed when 15% of the members or 75 members, whichever is less, are present at a meeting.

Article III. Board Members and Duties

Section 1.  Board Members

A.    The Board shall consist of the following 5 members:

  1. Chairman – The Chairman presides at all Board Meetings and regular meetings, directs the activities of the Board, and coordinates efforts with other like-minded groups as defined by the board.
  2. Vice-Chairman – The Vice-Chairman is responsible for all the duties of the Chairman in the Chairman’s absence, and any other duties assigned by the Chairman.
  3. Secretary/Treasurer – The Secretary/Treasurer records minutes for all Board meetings and regular meetings of L912P. The Secretary/Treasurer receives, records, and disburses all funds and any other duties assigned by the Chairman.
  4. Members At Large – The Members At Large perform duties assigned by the Board.

B.    The Board shall meet at least once a month.

C.    Each Board Member is allotted one vote during deliberations by the Board.

D.    The Board shall have the discretion of allocating up to $200 in a single expenditure. Any single expenditure over $200 must be approved by a simple majority of a quorum of the general membership.

Section 2.  Election of Board Members

A.    Election of Board members shall be held annually in the month of January.

B.    Board Members shall be elected for a period of one year by a simple majority of a quorum of members, as defined in Article II, Section 4, in attendance at a L912P meeting.

C.    Notice of the election of board members must be given at least two weeks in advance.

D.    The election shall be conducted by secret ballot.

  1. The Board shall appoint a special committee to issue and count ballots.

Section 3. Vacancies - When a vacancy occurs in the Board of Directors, a special election shall be held as soon as is practical to fill that vacancy for the remainder of the term.

Section 4. Board Member Removal – A member of the Board of Directors may be removed from the Board for conduct deemed detrimental to the objectives and interests of the L912P, or in violation of the Code of Conduct.

A.    The member will be given notice of the proceedings and an opportunity to be heard in his or her defense.

B.    Notice of a ballot to remove a Board Member shall be given at least two weeks in advance.

C.    Such removal shall be upon the three-fifths majority of a quorum of members, as defined in Article II, Section 4, present at a regular meeting of the L912P by secret ballot.

Article IV.  Adoption and Amendments

Section 1. These Bylaws and any amendments to these bylaws shall be adopted upon the favorable vote of a three-fifths majority of a quorum of members, as defined in Article II, Section 4, of members in attendance at a regular meeting of the L912P. They shall become effective immediately, and shall remain in effect until the adoption of new Bylaws or amendments thereto.

Article V.  Conduct of Meetings

Section 1.  All general meetings of the L912P shall be conducted in accordance with Robert’s Rules of Order.

Code of Conduct

While our power is in our numbers, our currency is in our credibility. Loveland 9-12 Project members must engage in activities as described herein with respect and proper decorum. Although passion from our members is expected and encouraged, it is also expected and encouraged that members respect the right of free speech in others. Be aware that our critics and opposition will utilize any breakdown in discipline to discredit our grassroots movement.

When at events, meetings or any public/private arena as well as in all communications, members are expected to follow these rules of conduct:

  1. Follow the 9 principles and 12 Values. If you seek them in your personal life you will display them publicly.
  2. Be optimistic, positive and hopeful.
  3. Follow through on commitments - when you make a commitment you set an expectation that others are depending on. If you cannot follow through on a commitment then do not commit. If repeated defaults occur, then the Board will consider taking action.
  4. Use clear communication.
  5. Educate yourself - you cannot educate others or respond to our critics and opposition if you do not know our history and the Constitution.
  6. Always state facts - do not state opinions as fact nor deliberately misrepresent the facts. You should always verify the information received to determine its validity.
  7. Debate instead of argue - Debate is education, argument is emotion. First seek to find the common ground with others, especially opposition then state an educated position. Try to understand the opposition's point of view, it is okay to disagree.
  8. Profanity, personal attacks and aggressive behavior are prohibited.
  9. You may be assertive but not overbearing.
  10. Be gracious - it's not all about you.
  11. Reinforce positive behavior.
  12. Respect others; use proper titles and polite language.
  13. If active in campaigns or running for office you may not present yourself as a representative of the Loveland 9-12 Project, it is a violation of our non-partisan position.
